This Familiarisation Programme for Independent Directors of Encash Entertainment Limited (“the Company”) has been adopted by the Board of Directors pursuant to the Listing Agreement.
The Program aims to provide insights into the Company to enable the Independent Directors to
understand its business in depth and contribute significantly to the Company.
The Familiarisation programme formulated with the objective of making the Independent Directors
of the Company accustomed with the following areas:
a. Familiarisation with the Company
b. Independent directors roles, rights and responsibilities
c. Nature of the Industry in which the Company operates;
d. Business Model of the Company
e. Compliance Management
The Programme has been designed considering the specific needs of corporate governance and obligations of Independent Directors in view of the responsibility conferred by the Companies Act 2013 and the Listing Agreement, as amended from time to time.
For new Independent Director joining the Board – The Company shall through its KMPs or other Senior Managerial Personnel familiarize the Independent Director with regard to above areas.
All Independent Directors are aware and further updated about their roles, rights, responsibilities in the Company from time to time as and when required.
The appointment letter issued to Independent Directors inter alia sets out the expectation of the Board from the appointed director, their fiduciary duties and the accompanying liabilities that come with the appointment as a director of the Company.
At the time of induction of an Independent Director in a Board Committee, he is explained about his specific role and responsibilities as a member of the Committee.
Independent Directors are provided with necessary documents, reports, Code of Conduct, Code of conduct for Prohibition of Insider Trading and other relevant internal policies to enable them to
familiarize with the Company’s procedures and practices.
They are given all the documents sought by them for enabling a good understanding of the Company, its various operations and the industry segments of which it is a part.
